User Agreement for My Auto Manager

This User Agreement ("Agreement") is a legal agreement between you ("User" or "you") and My Auto Manager ("My Auto Manager," "we," "us," or "our") regarding your use of the My Auto Manager marketing services (the "Services"). By accessing or using the Services, you agree to be bound by the terms and conditions of this Agreement.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as our Privacy Policy. If you do not agree to these terms, you may not access or use the Services.

2. Services

My Auto Managwer provides marketing services designed to help businesses improve their online presence, including enhancing SEO, increasing product clicks, and driving website traffic. The specific features and functionalities of the Services are described on our website and may be updated from time to time.

3. Account Registration

To access and use certain features of the Services, you must register for an account using Clerk for authentication. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account login credentials and are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Your Information

You are responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all data and information you provide to My Auto Manager in connection with your use of the Services, including business name, product information, business information, user emails, and names. You grant My Auto Manager a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display this information as necessary to provide and improve the Services.

5. Payment and Billing

Our Services are offered on a flexible monthly budget basis. By subscribing to the Services, you agree to pay the applicable fees as described on our website or in your service agreement. All fees are non-refundable unless otherwise stated in a separate written agreement. You authorize My Auto Manager or its third-party payment processor to charge your designated payment method for the applicable fees. You are responsible for providing valid and up-to-date payment information.

6. Limited Availability and Exclusivity

My Auto Manager limits the number of spots available for our Services to ensure a high level of quality and dedicated support for our clients. By subscribing to the Services, you acknowledge and agree that availability is limited and subject to change at our discretion. This limited availability contributes to the exclusivity of the Services.

7. User Responsibilities and Conduct

You agree to use the Services only for lawful purposes and in accordance with this Agreement. You agree not to:

• Use of the Services in any way that violates any applicable federal, state, local, or international law or regulation.
• Engage in any conduct that is disruptive, harmful, or otherwise interferes with the proper fucntioning of the Services.
• Attempt to gain unauthorized access in any part of the Services or to any other accounts, computer systems, or networks connected to the Services.
• Use the Services to transmit any unsolicted or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
• Use the Services to impersonate or attempt to impersonate My Auto Manager, a My Auto Manager employee, another user, or any other person or entity.
• Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services.

8. Intellectual Property

All content, trademarks, service marks, logos, and other intellectual property related to My Auto Manager and the Services are owned by My Auto Manager or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any of My Auto Manager's intellectual property without our prior written consent.

9. Confidentiality

You agree to keep confidential any non-public information you obtain through the Services that is designated as confidential or that you reasonably should understand to be confidential.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MY AUTO MANAGER DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MY AUTO MANAGER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

11. Limitation of Liability

IN NO EVENT SHALL MY AUTO MANAGER, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT MY AUTO MANAGER HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL MY AUTO MANAGER'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO MY AUTO MANAGER FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless My Auto Manager and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in this Agreement, or your use of any information obtained from the Services.

13. Term and Termination

This Agreement will remain in full force and effect while you use the Services. You may terminate this Agreement by discontinuing your use of the Services and deleting your account. My Auto Manager may terminate this Agreement at any time for any reason, with or without notice, including if you violate any provision of this Agreement. Upon termination, your right to use the Services will immediately cease.

14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [Insert Your State/Country], without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the federal or state courts located in [Insert Your City and State/Country], and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and My Auto Manager regarding your use of the Services and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
